Terms of Service

Effective July 8, 2026

1. Who we are

“The Lead Gents” is a service operated by WavePoint Web Design Inc. (“we”, “us”, “our”). By creating an account, ticking the acceptance box at signup, accessing the dashboard, or paying an invoice, you (“you”, “client”) acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree, do not create an account or use the service.

You represent that you are at least the age of majority in your province or state, that you are authorised to enter into these terms on behalf of the business you register, and that the business is a bona fide commercial enterprise. These terms form a binding agreement between you and WavePoint Web Design Inc.

2. What we do

The Lead Gents is a managed Google Business Profile (GBP) service. When you’re on a paid plan we may, on your behalf:

We access your listing either through Google’s OAuth flow (you connect your own Google account and can disconnect it at any time) or, for some legacy arrangements, as an authorised manager via Google’s manager-access system. You remain the owner of your listing and can remove our access at any time.

3. Data we access

To run the service we access data that you have already made public on your GBP (business name, address, reviews, hours, photos) and data Google shares with managers (performance stats, Q&A, reviewer first names). We do not sell or share this data with any party other than our own infrastructure and processing providers (currently Supabase, Resend, OpenAI, Anthropic, Perplexity, Google, FireCrawl, Square, and — only if you connect a blog — Webflow), each of whom is bound by their own terms.

You authorise us to take certain actions automatically, without reviewing each one with you first. By accepting these terms and choosing your response preferences during onboarding, you specifically authorise us to, on your behalf and under your business name:

5. Starter plan

Starter accounts are free, permanent, and do not require a credit card. You receive one initial GBP audit with competitor comparison when you sign up, plus a preview of your top directory recommendation. Upgrade to a paid plan to re-run audits, unlock the full tiered directory list, and get ongoing GBP management and content automation.

6. Billing and cancellation

Billing entity. The Lead Gents is a product of WavePoint Web Design Inc., a Canadian incorporated company. Subscription charges are processed by WavePoint Web Design Inc. via Square and may appear on your card statement as either “The Lead Gents” or “WavePoint Web Design.”

Plans and charges. Paid plans are billed as a recurring monthly subscription via Square. Your first 7 days are free, your card is saved at signup but no charge is made until day 8. From then on the monthly amount is charged automatically to the card on file on the same day each month. The monthly amount is the price quoted to you at signup, and we will not change it without written notice and your consent.

Card on file. Card details are captured by Square’s PCI-compliant Web Payments SDK and stored on Square’s servers. We do not store or have access to your full card number, CVV, or expiry, only Square’s reference identifiers.

Failed payments. If a card charge fails, Square will retry per its standard retry schedule and notify you by email. If the amount remains unpaid after 7 days we may pause your service; continued non-payment may result in termination.

Cancellation. You may cancel your paid plan at any time from the Subscription section of your Settings page, or by written notice (email is fine). If you cancel during your first 7 days no charge is ever made and your account reverts to the free Starter plan. After the first 7 days, cancellation takes effect at the end of the current billing period; no further charges are made, we do not pro-rate refunds for mid-cycle cancellations, and your account then reverts to the free Starter plan.

On cancellation of a paid plan we stop all automated management and, where we hold a connection to your GBP for paid features, remove or revoke that access by the end of the billing period in which the cancellation takes effect. You can also disconnect us from your GBP yourself at any time from Google. Because cancellation reverts you to a free Starter account rather than closing your account, we retain your account data so you can keep using Starter and re-upgrade later. To have your data deleted entirely, you can permanently delete your account and associated data yourself at any time from the “Delete account” section of your Settings page, or email us to request deletion — see our Privacy Policy.

8. Google platform risk — listings, flagging, and suspension

Your Google Business Profile is owned and controlled by Google, not by us. Google can, at its sole discretion and without notice, flag, restrict, suspend, merge, demote, remove, or delete a listing, change its policies and how it enforces them, or change how its APIs behave. These decisions are made by Google and are outside our control.

9. Disclaimers and limitation of liability

The service is provided on an “as is” and “as available” basis. We do not guarantee a specific ranking, search position, review volume, lead volume, or business outcome. SEO and local search depend on many factors outside our control, including Google’s algorithms and enforcement.

To the maximum extent permitted by law, neither WavePoint Web Design Inc. nor its owners, officers, employees, or contractors will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost leads, lost goodwill, or business interruption, arising out of or relating to the service or your listing, even if advised of the possibility. Our total aggregate liability to you for any and all claims arising from or relating to the service is limited to the fees you actually paid us in the 3 months preceding the event giving rise to the claim. You agree to indemnify and hold us harmless from third-party claims arising out of content, photos, business information, or instructions you provided, or your use of the service in violation of these terms or Google’s policies. Some jurisdictions do not allow certain limitations; where that applies, these limits apply to the fullest extent permitted.

10. Governing law and disputes

These terms, and any dispute arising out of or relating to them or the service, are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You and WavePoint Web Design Inc. irrevocably submit to the exclusive jurisdiction of the courts located in British Columbia for the resolution of any such dispute, and you waive any objection to venue in those courts.

Before commencing any formal proceeding, you agree to first contact us in writing and attempt in good faith to resolve the matter for at least 30 days. To the maximum extent permitted by law, any claim must be brought within one (1) year after the event giving rise to it, and you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.

12. Changes to these terms

We may update these terms occasionally. Material changes will be emailed to you at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
